Overview
These Papsoo Digital Terms of Service, together with any applicable order form, statement of work, service agreement, quote, invoice, service-specific terms, privacy policy, acceptable use policy, data processing addendum, and other terms referenced in this document, form the agreement between Papsoo, LLC d/b/a Papsoo and the person or entity using, purchasing, or receiving Papsoo Digital services.
Papsoo Digital provides digital and technology services, including web development, web management, domain registration and hosting, IT help desk and managed services, SaaS solutions, AI Assist services, consulting, implementation, support, and related digital services.
By accessing, purchasing, using, or receiving Papsoo Digital services, you agree to these Terms. If you are accepting these Terms on behalf of a company or organization, you represent that you have the authority to bind that company or organization.
1. Definitions
For purposes of these Terms:
“Papsoo,” “Papsoo Digital,” “we,” “us,” or “our” means Papsoo, LLC d/b/a Papsoo and its applicable services, divisions, contractors, agents, or affiliates.
“Customer,” “you,” or “your” means the person, business, organization, or entity purchasing, accessing, or using the Services.
“Services” means Papsoo Digital services, including web development, web management, domain and hosting services, IT help desk and managed services, SaaS solutions, Nexvi AI Assist, consulting, technical support, integrations, cloud-related services, and any other service provided by Papsoo Digital.
“Customer Data” means data, files, content, documents, text, images, records, login credentials, business information, user information, or other materials provided by Customer or Customer’s users.
“Customer Content” means websites, copy, media, branding, logos, product information, business descriptions, uploaded files, databases, emails, forms, documents, and other content provided by or on behalf of Customer.
“Deliverables” means websites, code, designs, configurations, documents, dashboards, software, integrations, AI assistant configurations, or other work product created by Papsoo Digital for Customer.
“Third-Party Services” means services, software, platforms, tools, plugins, APIs, hosting infrastructure, domain registrars, payment processors, AI models, email providers, analytics tools, CRM systems, cloud platforms, or other products not owned or controlled by Papsoo.
“AI Assist” means any artificial intelligence-enabled feature, chatbot, agent, assistant, automation, document support tool, content generation tool, workflow assistant, or related AI-supported functionality provided or configured by Papsoo Digital, including Nexvi AI Assist.
2. Scope of Services
Papsoo Digital may provide one or more of the following services:
- Web Development — website design, development, redesign, landing pages, client portals, forms, front-end development, back-end development, and related website services.
- Web Management — website updates, maintenance, monitoring, backups, restoration support, reports, analytics, testing, content updates, and ongoing website support.
- Domain Registration & Hosting — domain registration assistance, shared hosting, cPanel hosting, email account setup, SSL configuration, DNS support, website migration, hosting support, and related technical services.
- IT Help Desk & Managed Services — help desk support, remote support, reporting, device inventory, user support, identity and access assistance, knowledge base support, and managed IT service coordination.
- SaaS Solutions — custom software planning, configuration, CRM systems, dashboards, portals, workflows, integrations, user management, analytics, and related software solutions.
- Nexvi AI Assist — AI-powered assistants, internal knowledge support, customer service assistants, workflow support, document assistance, AI-enabled forms, and related AI solutions.
- Consulting and Technical Services — technical planning, implementation support, troubleshooting, project documentation, business process support, and digital strategy assistance.
Papsoo Digital does not guarantee that every Service will be available in every location, for every customer, or under every plan.
3. Service Orders, Proposals, and Statements of Work
Some Services may require a written quote, proposal, order form, scope of work, statement of work, or project agreement. If there is a conflict between these Terms and a signed statement of work or service agreement, the signed statement of work or service agreement controls for that specific project only.
Papsoo Digital may reject, pause, or cancel a project if the scope is unclear, the requested work is unlawful, the Customer does not provide required materials, the Customer fails to pay, or the project presents legal, security, operational, or reputational risk.
4. Customer Responsibilities
Customer is responsible for:
- Providing accurate business information, project requirements, content, approvals, access credentials, and feedback.
- Ensuring that Customer Content does not violate any law, regulation, intellectual property right, privacy right, contract, or third-party right.
- Maintaining accurate contact, billing, and administrative information.
- Securing its own devices, accounts, passwords, email inboxes, users, and internal systems.
- Reviewing Deliverables, AI outputs, website content, forms, workflows, and configurations before public or business use.
- Obtaining any required licenses, authorizations, consents, permissions, or legal approvals needed for the Services.
- Backing up any important Customer Data unless backup services are expressly included in the purchased plan.
- Cooperating with Papsoo Digital in a timely manner.
Delays caused by Customer may delay project timelines, support response, launch dates, migration work, or Service availability.
5. Accounts, Access, and Credentials
Customer may be required to create or maintain accounts to access certain Services. Customer is responsible for all activity under its accounts and for keeping passwords, credentials, API keys, recovery codes, and administrative access secure.
Papsoo Digital may request temporary administrative access to Customer systems to perform Services. Customer authorizes Papsoo Digital to access those systems only as reasonably necessary to provide the Services.
Papsoo Digital is not responsible for unauthorized access caused by Customer’s weak passwords, credential sharing, compromised devices, failure to enable multi-factor authentication, or failure to follow security recommendations.
6. Fees, Billing, and Payment
Customer agrees to pay all fees listed in the applicable quote, invoice, subscription plan, order form, or service agreement. Fees may include one-time project fees, monthly service fees, annual service fees, subscription fees, hourly fees, usage-based fees, third-party costs, domain fees, hosting fees, support fees, add-on fees, and taxes.
Unless stated otherwise:
- Fees are due according to the invoice or payment schedule.
- Recurring Services are billed in advance.
- Project deposits are non-refundable once work has started.
- Past-due amounts may result in suspension or termination of Services.
- Customer is responsible for applicable taxes, transaction fees, chargeback fees, collection costs, and reasonable attorneys’ fees related to unpaid balances.
- Papsoo Digital may change pricing for future billing periods by providing notice or posting updated pricing.
Papsoo Digital may require automatic payment for recurring Services.
7. Recurring Services, Renewal, and Cancellation
Some Services renew automatically, including hosting, web management, IT support, SaaS subscriptions, AI Assist subscriptions, domain services, maintenance plans, and managed services.
Customer authorizes Papsoo Digital or its payment processor to charge the selected payment method for recurring fees unless the Service is cancelled according to the applicable cancellation process.
Unless a different written agreement applies:
- Cancellation must be submitted before the next renewal date.
- Cancellation does not eliminate fees already incurred.
- Partial-month refunds are not guaranteed.
- Domain registrations, renewals, SSL certificates, third-party licenses, and other third-party costs may be non-refundable.
- Papsoo Digital may require identity verification before processing cancellation.
8. Refunds
Refund eligibility depends on the Service purchased. Unless otherwise required by law or expressly stated in writing:
- Custom project work is not refundable once work has started.
- Deposits are non-refundable after project initiation.
- Domain registration and renewal fees are non-refundable.
- Third-party software, licenses, plugins, themes, subscriptions, payment processor fees, and registrar fees are non-refundable.
- Hosting refunds, if available, are subject to the specific plan terms.
- Monthly support, maintenance, IT, SaaS, or AI Assist fees are not refundable after the billing period begins.
Papsoo Digital may issue credits at its discretion.
9. Taxes
Customer is responsible for all applicable sales, use, VAT, GST, communications, digital services, withholding, or similar taxes, except taxes based on Papsoo’s net income.
If Papsoo Digital is required to collect taxes, those taxes will be added to the invoice or charged at checkout. Customer is responsible for providing valid tax exemption documentation if applicable.
10. Web Development Services
For web development projects:
- Customer is responsible for providing required content, images, branding, business information, product details, policies, and approvals.
- Papsoo Digital may use placeholder content until final content is provided.
- Project timelines depend on Customer responsiveness, scope clarity, third-party services, and technical complexity.
- Revisions are limited to the revision rounds stated in the proposal or service agreement.
- Additional revisions, new features, or scope changes may require additional fees.
- Customer is responsible for reviewing and approving the website before launch.
- Papsoo Digital is not responsible for errors in Customer-approved content.
- Search engine ranking, traffic, sales, leads, conversion rates, or business results are not guaranteed.
Unless otherwise stated in writing, Papsoo Digital may display completed work in its portfolio, case studies, marketing, or proposals.
11. Web Management Services
Web management services may include updates, monitoring, backups, content changes, reports, maintenance, restoration support, and related technical support depending on the selected plan.
Customer understands that maintenance does not guarantee uninterrupted operation, backups may fail, restoration depends on available backup integrity and platform conditions, response times may vary, unused support hours only roll over if expressly included, and emergency or after-hours support may require additional fees.
Papsoo Digital may refuse website changes that are unlawful, deceptive, infringing, unsafe, malicious, or technically unreasonable.
12. Domain Registration and Hosting Services
Domain registration and hosting services may be provided directly by Papsoo Digital or through Third-Party Services.
Customer understands and agrees that:
- Domain availability is not guaranteed until registration is completed.
- Domain names are subject to registrar, registry, ICANN, and applicable third-party rules.
- Customer is responsible for keeping domain ownership, contact, and renewal information accurate.
- Failure to renew a domain may result in expiration, loss of access, redemption fees, or permanent loss of the domain.
- Hosting resources may be subject to storage, bandwidth, database, email, CPU, memory, inode, abuse, fair use, or technical limits.
- Papsoo Digital may suspend hosting for malware, phishing, spam, excessive resource usage, non-payment, abuse, security risk, or violation of these Terms.
- Email deliverability is not guaranteed.
- DNS changes may take time to propagate and may be affected by third-party providers.
- SSL certificates, migrations, backups, and technical configurations may depend on third-party systems.
Customer may not use hosting services for illegal content, spam, phishing, malware, cryptocurrency mining, unauthorized scanning, abusive automation, adult exploitation, harassment, copyright infringement, or any activity that threatens the stability, security, reputation, or legal compliance of Papsoo Digital or its providers.
13. IT Help Desk and Managed Services
IT Help Desk and Managed Services may include user support, remote troubleshooting, reporting, device inventory, identity and access support, knowledge base support, contract management, and related technical assistance depending on the selected plan.
Customer understands that Papsoo Digital is not responsible for hardware failure, ISP outages, power issues, unsupported software, vendor defects, or third-party service outages. Remote support requires Customer cooperation and access. On-site support is only available in supported areas and may require additional fees.
Papsoo Digital does not guarantee that every technical issue can be resolved.
14. SaaS Solutions
SaaS Solutions may include custom software, dashboards, portals, CRM systems, workflow tools, user management, analytics, forms, API integrations, and other business software solutions.
Customer understands that custom software depends on properly defined requirements, scope changes may require additional fees and timeline changes, third-party API changes may affect functionality, and Papsoo Digital does not guarantee uninterrupted access, error-free operation, or compatibility with every third-party system.
Unless otherwise agreed, Papsoo Digital may retain ownership of reusable frameworks, templates, libraries, internal tools, methods, and generalized components used to deliver SaaS Solutions.
15. Nexvi AI Assist and AI Services
Nexvi AI Assist and other AI Services may help with customer support, internal knowledge, document assistance, content generation, workflow guidance, intake forms, automation, summarization, recommendations, and related tasks.
Customer understands and agrees that:
- AI outputs may be inaccurate, incomplete, biased, outdated, or unsuitable for a particular purpose.
- AI outputs must be reviewed by a qualified human before being used for legal, financial, medical, employment, insurance, safety, security, compliance, or other important decisions.
- AI Services are not a substitute for professional legal, medical, financial, accounting, insurance, engineering, cybersecurity, or compliance advice.
- Customer is responsible for the content, data, documents, instructions, prompts, and materials submitted to AI Services.
- Customer may not use AI Services to generate unlawful, deceptive, infringing, harmful, abusive, discriminatory, exploitative, or malicious content.
- Customer may not use AI Services for high-risk activities unless expressly approved in a separate written agreement.
- Papsoo Digital may use third-party AI models, APIs, infrastructure, and tools to provide AI Services.
- Third-party AI systems may have their own terms, limits, policies, and processing practices.
- Papsoo Digital does not guarantee that AI-generated content is original, non-infringing, confidential, accurate, or fit for a specific purpose.
- Customer is responsible for disclosing AI use where required by law or policy.
Unless expressly agreed in writing, Papsoo Digital will not intentionally use Customer Data submitted to Nexvi AI Assist to train general AI models owned by Papsoo. However, Third-Party Services may process data according to their own terms, privacy policies, and data processing agreements.
16. Customer Data and Privacy
Customer retains ownership of Customer Data. Papsoo Digital may access, process, store, transmit, or use Customer Data only as reasonably necessary to provide the Services, support Customer, secure systems, comply with law, prevent abuse, improve service reliability, and fulfill contractual obligations.
Customer is responsible for providing legally required notices, obtaining legally required consents, ensuring it has the right to provide Customer Data to Papsoo Digital, ensuring its privacy policy accurately describes its data practices, and avoiding submission of regulated data unless approved by Papsoo Digital in writing.
Papsoo Digital’s collection and use of personal information is also governed by its Privacy Policy.
17. Security
Papsoo Digital uses commercially reasonable administrative, technical, and organizational measures designed to protect systems and Customer Data. However, no system, website, network, hosting environment, AI system, software platform, or transmission method is completely secure.
Customer is responsible for maintaining security of its users, devices, passwords, access controls, email accounts, local networks, third-party accounts, and internal procedures.
Papsoo Digital may suspend Services if it reasonably believes suspension is necessary to protect Customer, Papsoo Digital, other customers, third-party providers, or the public.
18. Third-Party Services
Papsoo Digital may use, resell, configure, integrate, recommend, or support Third-Party Services. Third-Party Services may include domain registrars, hosting providers, DNS providers, payment processors, AI providers, cloud providers, email providers, analytics tools, CRM systems, plugins, themes, APIs, and software platforms.
Customer understands that Third-Party Services are not controlled by Papsoo Digital, may change pricing, features, terms, availability, APIs, limits, or policies, and may affect the Services. Papsoo Digital may assist with third-party issues but does not guarantee resolution.
19. Acceptable Use
Customer may not use the Services to:
- Violate any law, regulation, court order, or third-party right.
- Infringe copyrights, trademarks, trade secrets, patents, privacy rights, publicity rights, or contractual rights.
- Send spam, phishing messages, malware, ransomware, spyware, or harmful code.
- Host, transmit, or promote illegal, abusive, exploitative, hateful, fraudulent, or deceptive content.
- Engage in unauthorized access, scanning, scraping, credential attacks, denial-of-service attacks, or security testing without permission.
- Interfere with the stability, security, reputation, or performance of Papsoo Digital systems or third-party systems.
- Engage in cryptocurrency mining without written approval.
- Use the Services for high-risk activities.
- Misrepresent identity, affiliation, endorsements, product claims, or AI capabilities.
- Upload or process regulated data without proper written approval.
Papsoo Digital may investigate suspected violations and may suspend or terminate Services where appropriate.
20. Intellectual Property
Customer retains ownership of Customer Content and Customer Data. Papsoo Digital retains ownership of its pre-existing materials, templates, know-how, processes, frameworks, software libraries, internal tools, reusable components, methodologies, brand assets, and proprietary systems.
Unless otherwise stated in a signed agreement, upon full payment, Customer receives a limited, non-exclusive license to use the final Deliverables created specifically for Customer for Customer’s business purposes.
Customer does not receive ownership of Papsoo Digital’s reusable tools, code libraries, design systems, internal infrastructure, AI configurations, training methods, proprietary processes, or non-customer-specific materials unless expressly stated in writing.
21. Feedback
Customer may provide suggestions, comments, ideas, requests, or feedback. Papsoo Digital may use feedback without restriction, compensation, or obligation, provided that Papsoo Digital does not publicly disclose Customer’s Confidential Information without permission.
22. Confidentiality
Each party may receive Confidential Information from the other. The receiving party will use reasonable care to protect Confidential Information and will use it only to perform obligations or exercise rights under these Terms.
Confidential Information does not include information that is publicly available without breach, was already known without confidentiality obligations, is independently developed, is lawfully received from a third party, or must be disclosed by law, subpoena, court order, or government request.
23. Service Changes and Availability
Papsoo Digital may update, modify, improve, replace, discontinue, or limit Services from time to time. Papsoo Digital will make commercially reasonable efforts to avoid materially disrupting paid Services, but does not guarantee that Services will be uninterrupted, error-free, or always available.
24. Support and Response Times
Support availability depends on the selected plan, scope of work, urgency, business hours, region, service type, and issue complexity. Unless a specific written SLA applies, response times are targets only and are not guarantees.
Support may be provided by email, portal, phone, remote session, chat, ticket system, or other approved support channels.
25. Suspension
Papsoo Digital may suspend all or part of the Services if:
- Customer fails to pay amounts due.
- Customer violates these Terms.
- Customer’s use creates security, legal, operational, abuse, or reputational risk.
- Customer’s website, hosting account, software, email, or system is compromised.
- Customer uses excessive resources or interferes with other customers.
- Suspension is required by law or third-party provider.
- Papsoo Digital reasonably believes immediate action is needed to protect systems or users.
26. Term and Termination
These Terms begin when Customer accepts them, uses the Services, signs an agreement, pays an invoice, or otherwise receives Services.
Customer may stop using the Services at any time, subject to payment obligations, cancellation requirements, project terms, and third-party commitments.
Upon termination, Customer must stop using the applicable Services, pay all outstanding fees, and is responsible for exporting Customer Data before termination.
27. Data Return and Deletion
Customer is responsible for requesting data export, migration, or transfer before cancellation or termination. Papsoo Digital may assist with data export or migration as a paid service.
Papsoo Digital is not responsible for permanent data loss after cancellation, suspension, termination, domain expiration, hosting deletion, third-party account closure, or failure to maintain backups.
28. Publicity
Customer may state that it uses Papsoo Digital services. Unless Customer objects in writing, Papsoo Digital may identify Customer as a client and may display Customer’s name, logo, website, screenshots, or general project description in portfolios, proposals, marketing materials, and case studies.
29. Disclaimers
The Services are provided on an “as is” and “as available” basis unless expressly stated otherwise in writing. To the maximum extent permitted by law, Papsoo Digital disclaims all warranties, express, implied, statutory, or otherwise.
Papsoo Digital does not guarantee search engine rankings, website traffic, sales, revenue, lead generation, email deliverability, AI accuracy, third-party service performance, uninterrupted hosting, complete protection from cyberattacks, malware, downtime, data loss, or unauthorized access.
30. Limitation of Liability
To the maximum extent permitted by law, Papsoo Digital will not be liable for indirect, incidental, special, consequential, exemplary, punitive, or similar damages, including lost profits, lost revenue, lost savings, lost goodwill, lost data, business interruption, reputational harm, or cost of substitute services.
To the maximum extent permitted by law, Papsoo Digital’s total liability for claims arising out of or relating to the Services will not exceed the amount Customer paid to Papsoo Digital for the affected Service during the twelve months before the event giving rise to the claim. For free Services, beta Services, trial Services, or unpaid assistance, Papsoo Digital’s total liability will not exceed $100.
31. Indemnification
Customer will defend, indemnify, and hold harmless Papsoo Digital and its owners, officers, employees, contractors, affiliates, vendors, and agents from and against claims, damages, losses, liabilities, costs, and expenses, including reasonable attorneys’ fees, arising from Customer Content, Customer Data, Customer’s use of the Services, violation of these Terms, violation of law, violation of third-party rights, misuse of AI Services, or Customer’s website, application, software, hosting account, domain, or email account.
32. Compliance With Laws
Each party will comply with laws applicable to its own business and performance under these Terms. Customer is responsible for ensuring that its use of the Services complies with applicable laws, including laws related to privacy, data protection, consumer protection, employment, accessibility, marketing, advertising, intellectual property, export control, sanctions, industry regulations, and AI disclosure.
33. Export Control and Sanctions
Customer may not use the Services in violation of U.S. export control laws, sanctions laws, or trade restrictions. Customer may not use the Services if Customer is located in, controlled by, or acting on behalf of a sanctioned person, country, or entity prohibited by applicable law.
34. Government, Healthcare, Financial, and Regulated Uses
Customer may not use the Services for regulated healthcare data, protected health information, financial compliance systems, government-regulated records, legal evidence systems, emergency services, life-safety systems, or other regulated uses unless Papsoo Digital agrees in writing and the required agreements are executed.
Papsoo Digital is not a HIPAA Business Associate unless a written Business Associate Agreement is signed. Papsoo Digital is not a financial institution, law firm, medical provider, insurance provider, credit bureau, or regulated compliance provider.
35. Governing Law and Venue
These Terms are governed by the laws of the State of Florida, without regard to conflict of law principles. Unless prohibited by applicable law, all claims arising out of or relating to these Terms or the Services will be brought exclusively in the state or federal courts located in Palm Beach County, Florida.

Notices to Customer may be sent to the email address, billing contact, account contact, or administrative contact associated with Customer’s account or project.
37. Assignment
Customer may not assign these Terms without Papsoo Digital’s written consent. Papsoo Digital may assign these Terms to an affiliate, successor, purchaser, acquiring entity, or in connection with a merger, reorganization, sale of assets, or change of control.
38. Force Majeure
Papsoo Digital is not liable for delay or failure caused by events beyond its reasonable control, including natural disasters, war, terrorism, civil unrest, labor disputes, internet outages, power failures, cyberattacks, supplier failures, third-party service outages, government actions, pandemics, or other force majeure events.
39. Severability
If any provision of these Terms is found unenforceable, the remaining provisions will remain in effect. The unenforceable provision will be modified to the minimum extent necessary to make it enforceable where permitted by law.
40. No Waiver
Failure to enforce any provision of these Terms is not a waiver of that provision or any other rights.
41. Entire Agreement
These Terms, together with applicable service agreements, order forms, invoices, policies, and referenced documents, form the entire agreement between Customer and Papsoo Digital regarding the Services. They replace prior or inconsistent agreements regarding the same Services unless a signed written agreement expressly states otherwise.
42. Changes to These Terms
Papsoo Digital may update these Terms from time to time. Material changes will be posted on Papsoo Digital’s website or communicated through reasonable means. Changes take effect when posted unless a later effective date is stated.
Customer’s continued use of the Services after changes become effective means Customer accepts the updated Terms.
